Introductions

30-60 minute introductory meeting to get acquainted and confirm alignment.

NDA & Preliminary Information Review

Once we've confirmed alignment and sign a mutual NDA, we request high level information to begin our analysis. Our preliminary request is very light so as to not take you away from running your business.

SMG Provides Indicative Offer

We pride ourselves on working quickly. We commit to providing an Indication of Interest within two weeks of receiving initial materials and are conscious of the fact that M&A discussions can be distracting.

Execute Letter of Intent & Commence Due Diligence

Once confirming alignment with our Indicative Offer, we proceed to a Letter of Intent, which provides more background on our proposed timing and allows us to commence due diligence.

Due Diligence Execution & Definitive Agreement Drafting

Our due diligence process is typically between 45-60 days and is largely focused on understanding your operating strategy. We take a people-first approach and use this time to understand your strengths as well as the operational pain-points you've been experiencing. Our goal is to develop a detailed operating plan and identify where SMG can add value on day one post-closing. 

Execution of Definitive Agreement & Closing

On closing day, we execute the Definitive Agreement and take your lead on communicating the exciting announcement to your stakeholders. It's top of mind for us to ensure that your staff and customers are equally excited about the next chapter.
